TheaterClarity terms of service

These Terms of Service (“Terms”) govern access to and use of the TheaterClarity website and platform. By creating an account, accessing TheaterClarity, or using the service on behalf of a theater or organization, you agree to these Terms. If you do not agree to these Terms, do not use TheaterClarity.

1. USE OF THE SERVICE - TheaterClarity terms of service

TheaterClarity provides tools intended to help theaters and theater organizations manage productions, people, applications, auditions, casting, schedules, attendance, inventory, communications, and related operational activities.

You may use TheaterClarity only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the service, and any information you enter or manage through it, complies with applicable laws, organizational policies, and any permissions or consents required for your theater’s activities.

TheaterClarity may change, improve, add, or remove features from time to time as the platform develops.

2. ACCOUNTS AND AUTHORIZED ACCESS

Some TheaterClarity features require a user account. You are responsible for providing accurate account information, protecting your login credentials, and maintaining the security of your account.

Access to a theater’s information is controlled through permissions and authorizations established within TheaterClarity. Users may access only the theaters and information for which they have been properly authorized.

Theater administrators are responsible for managing staff access, removing access when it is no longer appropriate, and ensuring that individuals using the platform on behalf of the theater are authorized to do so.

You may not share credentials, impersonate another user, attempt to access another theater without authorization, or interfere with TheaterClarity’s security or access controls.

3. THEATER DATA AND RESPONSIBILITY

Theaters and authorized users may enter, upload, manage, or store information in TheaterClarity as part of normal theater operations. This may include information about productions, applicants, participants, staff, volunteers, minors, schedules, attendance, communications, inventory, and related activities.

The theater or organization using TheaterClarity is responsible for the accuracy, legality, and appropriateness of the information it enters or manages, including obtaining any permissions, releases, or consents required for that information.

TheaterClarity provides the platform and technical tools for managing this information but does not independently verify the accuracy of theater-managed records.

4. SUBSCRIPTIONS, FEES, AND PAYMENT

Access to some or all TheaterClarity features may require a paid subscription or other applicable fee. Subscription plans, pricing, included production limits, and other commercial terms are described on the TheaterClarity website or in the applicable offer presented to the theater.

Unless otherwise stated, subscription fees are billed in advance according to the selected billing cycle. Payments may be processed by third-party payment providers such as Stripe.

Additional services or charges, such as extra Productions or Assisted Data Migration, may be offered separately and may require additional payment.

TheaterClarity may change pricing or plan terms from time to time. Any change affecting an existing paid subscription will be communicated in accordance with applicable law and the terms of the subscription.

5. CHARTER EARLY ACCESS

TheaterClarity may offer Charter Early Access or other limited promotional programs from time to time. Eligibility, pricing, benefits, availability, and duration of any such program are subject to the terms presented at the time of enrollment.

Charter pricing and benefits apply only while the applicable Charter subscription remains continuously active and in good standing, unless TheaterClarity states otherwise in writing.

Charter Early Access may include preferential pricing, guided setup, direct support, and other benefits described on the TheaterClarity website or in the applicable offer.

6. CANCELLATION AND TERMINATION

A theater may cancel its subscription in accordance with the cancellation options made available through TheaterClarity or its payment provider. Unless otherwise stated, cancellation stops future renewal but does not automatically provide a refund for amounts already paid.

TheaterClarity may suspend or terminate access if a user or theater violates these Terms, fails to pay applicable fees, misuses the service, creates a security risk, or uses TheaterClarity in a way that could harm the platform, another user, or another organization.

If a subscription or account ends, access to some features or records may be limited or removed. TheaterClarity may retain certain information when reasonably necessary for legal, security, billing, backup, or legitimate business purposes.

7. ACCEPTABLE USE

You agree not to use TheaterClarity to:

  • Violate any applicable law, regulation, contract, or third-party right.

  • Upload, store, or share information that you do not have the right or permission to use.

  • Attempt to gain unauthorized access to another user’s account, another theater’s information, or any restricted part of the service.

  • Interfere with, disrupt, damage, or overload TheaterClarity or its supporting systems.

  • Introduce malicious code, automated attacks, or other harmful technology.

  • Use the service to harass, threaten, defraud, impersonate, or unlawfully monitor another person.

  • Reverse engineer, copy, resell, or exploit the service except as permitted by law or with TheaterClarity’s written permission.

TheaterClarity may investigate suspected misuse and may limit or suspend access when reasonably necessary to protect the service, users, or participating theaters.

8. INTELLECTUAL PROPERTY

TheaterClarity, including its software, design, branding, logos, text, graphics, workflows, and related materials, is owned by TheaterClarity or its licensors and is protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable right to use TheaterClarity for your theater’s authorized operations while your access remains active.

You retain responsibility for content and information that you or your theater enter into TheaterClarity. By using the service, you grant TheaterClarity only the rights reasonably necessary to host, process, display, transmit, back up, and otherwise handle that information for the purpose of providing and supporting the service.

9. SERVICE AVAILABILITY AND CHANGES

TheaterClarity works to keep the service available and reliable, but uninterrupted or error-free operation cannot be guaranteed. Access may occasionally be limited because of maintenance, updates, technical problems, security concerns, third-party service interruptions, or circumstances beyond TheaterClarity’s reasonable control.

TheaterClarity may modify, replace, or discontinue features when reasonably necessary to improve, secure, maintain, or operate the service. When practical, TheaterClarity may provide notice of significant changes that materially affect active users.

You are responsible for maintaining appropriate copies of information that your theater may need outside TheaterClarity where such copies are reasonably necessary for your operations.

10. DISCLAIMER OF WARRANTIES

TheaterClarity is provided on an “as is” and “as available” basis to the fullest extent permitted by law. TheaterClarity does not guarantee that the service will meet every theater’s needs, operate without interruption, or be free from errors.

TheaterClarity does not warrant the accuracy, completeness, or reliability of information entered or maintained by theaters or users. Each theater remains responsible for reviewing and managing its own operational records and decisions.

To the fullest extent permitted by law, TheaterClarity disclaims warranties that may otherwise arise by statute, course of dealing, usage of trade, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, TheaterClarity and its owners, operators, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from or related to use of the service.

To the fullest extent permitted by law, TheaterClarity’s total liability arising out of or relating to the service or these Terms will not exceed the amount paid by the applicable theater to TheaterClarity during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

12. INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TheaterClarity and its owners, operators, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to:

  • Your use or misuse of TheaterClarity.

  • Your violation of these Terms.

  • Information or content entered, uploaded, or managed by you or your theater.

  • Your violation of another person’s rights.

  • Your theater’s failure to obtain required permissions, releases, or consents.

This section applies only to the extent permitted by applicable law.

13. GOVERNING LAW

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising out of or relating to TheaterClarity or these Terms will be handled in an appropriate court located in Missouri, unless the parties agree to another method of resolving the dispute or applicable law requires a different forum.

14. CHANGES TO THESE TERMS

TheaterClarity may update these Terms from time to time as the platform, business practices, pricing, or legal requirements change. When changes are made, the revised Terms will be posted on the TheaterClarity website with an updated Effective Date.

If a change is significant, TheaterClarity may also provide additional notice through the website, platform, email, or another appropriate method.

Continued use of TheaterClarity after revised Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.
